Corporations Law: Introduction

This research guide is a selective resource to assist the legal researcher in conducting research in the area of United States corporate law. It is not comprehensive in scope, but rather to act as a starting point for the researcher to find additional sources and relevant information. At its core, the guide attempts to lead the researcher to up-to-date items held by the Cooley libraries. The guide is tilted towards Michigan and Florida sources on the topic while other state specific sources, except Delaware, have been deliberately omitted. It should be noted that Michigan’s corporate laws have been predominately codified in the Michigan Business Corporation Act. Given its importance to corporate law, sources from the state of Delaware have also been included.

The guide is organized according to the topics listed to the left, in the guide outline.

In the sections of the guide focusing on print materials, the "location" provides the call number for a work. Clicking on the title takes a user to the relevant entry in the catalog.  The letter abbreviations in parentheses reveal which campuses hold the title: “AA” indicates Ann Arbor, “AH” Auburn Hills, “GR” Grand Rapids, “L” Lansing, and "TB" Tampa Bay. Where possible, guide sections about statutes link to the appropriate law.

Please contact us if you have any questions or need further guidance.
